Terms of service
Overview
Welcome to Spidercard! The terms "we," "us," and "our" refer to SpiderWeb Group Limited (“Spidercard”). Spidercard operates this store and website, including all related information, content, features, tools, products, and services in connection with your orders, in order to provide you, the customer, with a curated shopping experience (the "Services"). Spidercard is powered by Shopify, which enables us to provide the Services to you.
The following terms and conditions, together with any policies referenced herein (the "Terms of Service" or "Terms"), describe your rights and responsibilities when using the Services.
Please read these Terms of Service carefully. They contain important information about your legal rights and cover areas such as disclaimers and limitations of liability.
By visiting, using, or interacting with our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or the Privacy Policy, do not use or access our Services.
Section 1 - Access and Account
By agreeing to these Terms of Service, you represent that you are at least 18 years old (the age of majority under the laws of the Republic of China (Taiwan)) or, if you are under 18, you have obtained the prior consent of your legal guardian, and that you have consented to allow any of your minor dependents to use the Services on devices that you own, purchase, or manage.
To use the Services, including accessing or browsing our online store or purchasing any
products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide in our store is correct, current, and complete, and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account to any other person.
Section 2 - Our Products
We make every effort to display our products and services accurately in our online store. However, please note that product colors or appearance may differ from what is shown on your screen, depending on the type of device you use to access the store and your device settings and configuration.
We do not guarantee that the appearance or quality of any product or service you purchase will meet your expectations, or that it will be exactly as described or depicted in our online store.
We may change any product description at any time at our sole discretion, without notice. We reserve the right to discontinue any product at any time and may, on a case-by-case basis, limit the quantity of any product we offer to any person, geographic region, or jurisdiction.
Section 3 - Orders
When you submit an order, you are making an offer to purchase. Spidercard reserves the right to accept or decline your order for any reason at its sole discretion. Your order is not accepted until Spidercard confirms its acceptance. We must receive and process your payment before accepting your order. Please review your order carefully before submitting it, as Spidercard may not be able to accommodate cancellation requests once an order has been accepted. If we do not accept, change, or cancel an order, we will try to notify you using the email, billing address, and/or phone number you provided when placing the order.
Products you purchase may be returned or exchanged only in accordance with our Refund Policy.
Your purchase is for your personal or household use only and may not be used for commercial resale or export.
Section 4 - Prices and Billing
Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is submitted and will be shown in your order confirmation email. Unless expressly stated otherwise, posted prices do not include taxes, shipping fees, handling fees, customs duties, or import charges.
Prices posted in our online store may differ from prices offered in physical stores, online stores, or other stores operated by third parties. We may from time to time offer promotions that may affect pricing, and these are governed by separate terms and conditions apart from these Terms. If there is a conflict between the promotion terms and these Terms, the promotion terms shall prevail.
You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made in our store. You agree to promptly update your account and other information, including your email address, credit card number, and expiration date, so that we can complete your transactions and contact you as needed.
You represent and warrant that (i) the credit card information you provide is true, correct, and complete, (ii) you are duly authorized to use that credit card to make purchases, (iii) charges you incur will be paid by your credit card company, and (iv) you will pay the charges you incur at the posted prices, including shipping and handling fees and all applicable taxes, if any.
Section 5 - Shipping and Delivery
We are not responsible for any shipping or delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs processing, or events beyond our control. Once we transfer the products to the carrier, title and risk of loss pass to you.
Section 6 - Intellectual Property
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, as well as their design, selection, and arrangement, are owned by Spidercard, its affiliates, or its licensors, and are protected by patent, copyright, and other intellectual property laws of Taiwan and other countries.
These Terms permit you to use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants, or shall be construed as granting, you any license or other right to use any patent, trademark, copyright, or other intellectual property of Spidercard, Shopify, or any third party. Unauthorized use of the Services may violate applicable intellectual property laws. Spidercard reserves all rights not expressly granted in these Terms.
The names, logos, product and service names, designs, and slogans of Spidercard are trademarks of Spidercard or its affiliates or licensors. You may not use such trademarks without the prior written permission of Spidercard. The names, logos, product and service names, designs, and slogans of Shopify are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans in the Services are trademarks of their respective owners.
Section 7 - Optional Tools
As part of the Services, you may be given access to customer tools provided by third parties, which we neither monitor nor control nor have any input into.
You acknowledge and agree that we provide access to such tools "as is" and "as available," without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Your use of the optional tools offered through this website is entirely at your own risk and discretion, and you should ensure that you are familiar with and agree to the terms under which the tools are provided by the relevant third-party providers.
We may also offer new features through the Services in the future (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.
Section 8 - Third-Party Links
The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third-party functionality). We are not responsible for reviewing or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third-party websites, you do so at your own risk.
We are not responsible for any harm or loss arising from your access to any third-party website, or from your purchase or use of any goods, services, resources, or content on any third-party website. Before engaging in any transaction, please carefully review the third party's policies and practices and make sure you fully understand them. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third party.
Section 9 - Relationship with Shopify
Spidercard is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Spidercard. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and Spidercard, including any injury, damage, or loss arising from the purchase of products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Spidercard.
Section 10 - Privacy Policy
All personal information we collect through the Services is governed by our Privacy Policy (see here), and certain personal information may also be subject to Shopify's Privacy Policy (see here). By using the Services, you acknowledge that you have read this Privacy Policy.
Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve the Services for you. Information you submit to the Services will be transferred to and shared with Shopify and third parties (which may be located in countries other than where you reside) in order to provide the Services to you. Please see our Privacy Policy to learn more about how we, Shopify, and our partners use your personal information.
Section 11 - Feedback
If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial purposes. For example, we may use the rights granted under this license to operate, provide, evaluate, enhance, improve, and promote the Services, and to perform our obligations and exercise our rights under these Terms of Service.
You also represent and warrant that: (i) you own all Feedback and all rights necessary in it; (ii) you have disclosed any compensation or rewards you received for submitting the Feedback; and (iii) your Feedback will comply with these Terms. We are not now, and will not in the future be, obligated to (1) keep your Feedback confidential; (2) pay you compensation for your Feedback; or (3) respond to your Feedback.
We may, at our sole discretion (but without obligation), monitor, edit, or remove any Feedback that we determine to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates the intellectual property rights of any party or these Terms of Service.
You agree that your Feedback will not infringe any rights of any third party, including copyrights, trademarks, privacy, personality, or other personal or proprietary rights. You further agree that your Feedback will not contain libelous or otherwise unlawful, abusive, or obscene content, or any computer virus or other malware that could in any way affect the operation of the Services or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any Feedback. You are solely responsible for any Feedback you provide and its accuracy. We are not responsible for any Feedback posted by you or any third party.
Section 12 - Errors, Inaccuracies, and Omissions
Information in the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability. If any information is inaccurate, we reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders, at any time without prior notice (including after you have submitted your order).
Section 13 - Prohibited Uses
You may access and use the Services for lawful purposes only. You may not access or use the Services: (a) for any unlawful or malicious purpose; (b) in violation of any international, Republic of China (Taiwan) or other regional regulations, rules, laws, or local ordinances; (c) to infringe upon or violate our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or injure any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms; (g) to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or that we determine may harm or expose Spidercard, Shopify, or users of the Services to liability.
In addition, you agree not to: (a) upload or transmit viruses or any other malicious code that could affect the functionality or operation of the Services; (b) reproduce, copy, plagiarize, scrape, sell, resell, or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, or otherwise attack the Services; (e) access the Services using any bot, spider, scraper, data collection or extraction tool, automated device or process, AI tool (such as agentic AI), or any automated or manual means; or (f) interfere with, circumvent, or bypass the security or authorization features, robot exclusion headers, or other measures we use to restrict access to the Services. If we determine that you have violated any part of these Terms, we reserve the right to suspend, disable, or terminate your account at any time without notice.
Section 14 - Agents
14.1 This section (the "Agent Terms") applies if you use, permit, enable, or cause the deployment of an agent to access, use, or interact with any of the Services. An "agent" means any software or service that takes autonomous or semi-autonomous actions on behalf of, or at the direction of, a person or entity, and that operates on behalf of a person or using a person's device without direct supervision.
14.2 No agent may access, use, or interact with the Services unless it identifies itself at all times and operates in strict compliance with the requirements of Section 14.4 below. In addition, no agent may access, use, or interact with any of the Services if we have asked agents to refrain from doing so.
14.3 We may restrict (including through technical measures) whether and how any agent accesses, uses, and interacts with the Services.
14.4 An agent must: (i) in all HTTP/HTTPS requests, indicate that the request originates from an agent, and disclose the agent's name by including the following in the request's user-agent string: "Agent/[agent name]"; (ii) not conceal or obscure the fact that any access, use, or interaction comes from an agent, such as by (a) mimicking human behavior and interaction patterns, or (b) completing or circumventing CAPTCHAs or other measures designed to distinguish computer use from human use; (iii) respond truthfully to any question or prompt seeking to determine whether an interaction is from a human or a computer; and (iv) not circumvent or otherwise avoid any measures designed to block, restrict, modify, or control whether and how agents access, use, or interact with the Services.
Section 15 - Termination
We may terminate this Agreement or your access to the Services (or any part thereof) at any time at our sole discretion, without notice, and you will remain liable for all amounts due up to and including the date of termination.
The following provisions survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any provision that by its nature should survive termination.
Section 16 - Disclaimer of Warranties
The information displayed or provided in or through the Services is for general informational purposes only. We do not guarantee the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We shall have no liability to you, any other visitor to the Services, or anyone who may become aware of its contents, for any liability arising from reliance on such materials.
Except as expressly provided by Spidercard, the Services and all products provided through the Services are provided to you "as is" and "as available," without any express or implied representations, warranties, or conditions, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. We do not warrant, represent, or guarantee that your use of the Services will be uninterrupted, timely, secure, or error-free. Some jurisdictions limit or do not allow the exclusion of implied or other warranties, so the above disclaimer may not apply to you.
Section 17 - Limitation of Liability
To the maximum extent permitted by law, Spidercard, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, or licensors, or such persons of Shopify and its affiliates, shall not be liable for any other claims arising from or relating to your use of any Services or any products procured using the Services, including but not limited to any errors or omissions in any content, or any loss, damage, or injury of any kind arising from the use of the Services or any content (or products) posted, transmitted, or otherwise made available through the Services, or any direct, indirect, incidental, punitive, special, or consequential damages of any nature, including but not limited to lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility thereof.
Section 18 - Indemnification
You agree to indemnify, defend, and hold harmless Spidercard, Shopify and its affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any loss, damage, liability, or claim payable to any third party (including reasonable attorneys' fees) resulting from or arising out of: (1) your breach of these Terms of Service or the documents incorporated by reference; (2) your violation of any law or infringement of the rights of a third party; or (3) your access to and use of the Services.
We will notify you of any claim subject to indemnification, provided that failure to give prompt notice will not relieve you of your obligations unless you are materially prejudiced by it. We may control the defense and settlement of such claims (including the selection of counsel) at your expense, but we may not settle any claim that imposes non-monetary obligations on you without your consent (not to be unreasonably withheld). You must cooperate in the defense of indemnified claims, including by providing relevant documents.
Section 19 - Severability
If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service. Such determination shall not affect the validity and enforceability of the remaining provisions.
Section 20 - Waiver; Entire Agreement
Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service, together with any policies or operating rules we post on this website or that relate to the Services, constitute the entire agreement and understanding between you and us, govern your use of the Services, and supersede any prior or contemporaneous oral or written agreements, communications, and proposals between you and us (including, but not limited to, any prior versions of these Terms of Service).
Any ambiguity in the interpretation of these Terms of Service shall not be construed against the drafting party.
Section 21 - Assignment
You may not delegate, assign, or transfer this Agreement or any rights or obligations under these Terms without our prior written consent, and any attempt to do so is void. We may assign, transfer, or delegate these Terms and our rights and obligations without notice or consent.
Section 22 - Governing Law
These Terms of Service shall be interpreted and applied in accordance with the laws of the Republic of China (Taiwan). The parties agree that the Taipei District Court in Taiwan shall be the court of first instance with jurisdiction; provided that where the law provides otherwise for jurisdiction over consumer disputes, such provisions shall prevail.
Section 23 - Headings
The headings used in this Agreement are for convenience only and shall not limit or otherwise affect these Terms.
Section 24 - Changes to Terms of Service
You can review the current version of these Terms of Service at any time on this page.
We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service, and updates and changes will be posted on our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes to these Terms in accordance with applicable law, and such changes will take effect on the date specified in the notice. Your continued use of or access to the Services after any changes to these Terms of Service are posted constitutes your acceptance of those changes.
